SYB, LLC provides AI consulting services including but not limited to AI strategy development, agentic workflow design, custom LLM implementation, intelligent automation, and related technology consulting. The specific scope, deliverables, and terms of each engagement are defined in separate service agreements or statements of work between SYB, LLC and the client.

You agree to use our website only for lawful purposes and in accordance with these terms. You agree not to:

• Use the website in any way that violates applicable local, state, national, or international law
• Attempt to gain unauthorized access to any portion of the website or its systems
• Use the website to transmit harmful code, malware, or other destructive content
• Interfere with or disrupt the website or servers connected to it
• Scrape, mine, or otherwise collect data from the website without our written consent

• Make timely payments in accordance with agreed-upon terms
• Designate authorized points of contact for project communication
• Review and provide feedback on deliverables within agreed timelines
• Ensure compliance with applicable laws and regulations related to the use of AI technologies

Both parties agree to maintain the confidentiality of proprietary and sensitive information shared during the course of an engagement. Confidential information includes, but is not limited to, business strategies, technical specifications, client data, and proprietary methodologies.

This confidentiality obligation survives the termination of any service agreement and does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

Payment terms, including fees, milestones, and schedules, are defined in individual service agreements or statements of work. Unless otherwise agreed:

• Invoices are due within 30 days of issuance
• Late payments may incur interest at the rate of 1.5% per month
• All fees are non-refundable once work has commenced, unless otherwise stated in the service agreement

To the fullest extent permitted by law, SYB, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of our website or services.

Our total liability for any claim arising from our services shall not exceed the total fees paid by you to SYB, LLC for the specific engagement giving rise to the claim.

Our website and its content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

While we strive for accuracy, we do not warrant that the website will be uninterrupted, error-free, or free of harmful components.

You agree to indemnify, defend, and hold harmless SYB, LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising out of your use of our website or services, violation of these terms, or infringement of any third-party rights.

Termination of consulting engagements is governed by the applicable service agreement or statement of work.

These Terms and Conditions are governed by and construed in accordance with the laws of the United States. Any disputes arising from these terms shall be resolved through binding arbitration or in the courts of competent jurisdiction.
